1. Acceptance of Terms

Welcome to Vendofy. These Terms of Service ("Terms") constitute a legally binding agreement between you and Vendofy ("we," "us," or "our") governing your access to and use of our website, platform, products, and services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding contract
  • Be a resident of a country where our Services are available
  • Not have been previously suspended or removed from our platform
  • Provide accurate and complete registration information

3. Account Registration

When you create an account, you must provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is always up to date

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription and Payments

Our Services are offered on a subscription basis. By subscribing to a paid plan:

  • You agree to pay all applicable fees as described on our pricing page
  • Subscription fees are charged in advance of the applicable subscription period
  • All payments are processed securely through Paystack
  • Subscription fees are non-refundable except as required by law or our refund policy
  • Failure to pay may result in suspension of your store
  • We reserve the right to change pricing with 30 days notice

5. Store Content and Conduct

You are solely responsible for all content and products listed in your store. You agree not to use our Services to:

  • Sell illegal, counterfeit, or stolen goods
  • Sell products that infringe on intellectual property rights
  • Sell harmful, dangerous, or prohibited items
  • Engage in fraudulent or deceptive practices
  • Upload malicious software or content
  • Harass, abuse, or harm others
  • Violate any applicable laws or regulations

We reserve the right to remove any content or suspend any store that violates these rules.

6. Intellectual Property

Our Content: All content, trademarks, logos, and intellectual property on our platform are owned by or licensed to us. You may not use our intellectual property without our prior written consent.

Your Content: You retain ownership of all content you upload to your store. By uploading content, you grant us a license to use, display, and distribute such content solely for the purpose of operating and improving our Services.

7. Payment Processing

We use Paystack for payment processing. By using our payment features:

  • You agree to Paystack's terms of service
  • We may deduct applicable fees and commissions from your earnings
  • Payouts are made according to our payout schedule
  • You are responsible for providing accurate bank account information
  • You are responsible for all chargebacks and disputes

8. Termination

By You: You may terminate your account at any time by contacting us or through your account settings.

By Us: We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in fraudulent activity.

Upon termination:

  • Your right to use our Services immediately ceases
  • Your store will be deactivated
  • Certain provisions of these Terms will survive termination

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDOFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES.

11. Indemnification

You agree to indemnify and hold harmless Vendofy and its affiliates, officers, employees, and agents from any claims, damages, losses, and expenses arising from your use of our Services or violation of these Terms.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or platform notification. Your continued use of our Services after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.
